These Terms & Conditions (“Terms”) govern your use of this website and any professional services provided by Node99 (“we,” “us,” “our”). By accessing this website or engaging our services, you agree to these Terms.
1. Services
Node99 provides professional services related to secure access architecture, including Zero Trust assessment, implementation support, documentation, and operational handover. Specific scope, deliverables, timelines, and fees will be defined in a written proposal, statement of work (“SOW”), or similar agreement.
2. No Warranty; Professional Judgment
Services are delivered using professional judgment based on information provided by the client and the state of the environment at the time of engagement. Security outcomes depend on multiple factors outside our control (e.g., existing infrastructure, user behavior, third-party systems, patch posture). We do not guarantee that services will prevent all security incidents.
3. Client Responsibilities
To deliver services effectively, the client agrees to:
- Provide accurate environment information and timely access to required systems
- Maintain appropriate administrative approvals and internal change control
- Ensure authorized stakeholders are available for discovery and validation
- Review and approve deliverables in a timely manner
4. Third-Party Products and Platforms
Engagements may involve third-party products or platforms (e.g., Cloudflare, identity providers, endpoint tools). The client is responsible for third-party subscriptions, licensing, and compliance with third-party terms. Node99 is an independent implementation provider and is not responsible for third-party outages, pricing changes, or product behavior.
5. Fees and Payment
Fees are agreed in writing prior to delivery (proposal/SOW). Unless otherwise stated:
- Assessment fees are due before work begins
- Implementation fees follow agreed milestones
- Late payments may pause delivery until resolved
6. Change Requests and Scope
Any work outside the agreed scope may require a change request and revised fee/timeline. Examples include additional applications, new identity providers, additional offices/sites, or expanded policy requirements.
7. Confidentiality
We will treat non-public client information as confidential and use it only to perform the engagement. We may require a mutual NDA for certain engagements. The client is responsible for ensuring appropriate internal authorization for data access.
8. Intellectual Property
Unless otherwise agreed:
- Client retains ownership of client systems, data, and credentials
- We grant the client a license to use deliverables (documents, diagrams, configurations) created during the engagement for internal operational purposes
- We retain ownership of our pre-existing templates, methods, and frameworks
9. Limitation of Liability
To the maximum extent permitted by law, Node99 will not be liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, revenue, data, or business interruption. Our total liability for any claim relating to services will not exceed the fees paid for the specific engagement giving rise to the claim.
10. Indemnity
The client agrees to indemnify and hold Node99 harmless from claims arising from the client’s misuse of deliverables, unauthorized changes, or violations of third-party terms.
11. Website Use
You agree not to misuse this website, attempt unauthorized access, or interfere with site operations. We may update site content at any time.
12. Governing Law
These Terms are governed by the laws of the Philippines. For international clients, services may be delivered remotely, and you agree that Philippine law will apply unless otherwise stated in a written agreement.
